Board of Directors

The Basics
The Board of Directors (Directors) consist of at least three, but not more than seven Directors, each of whom shall be a member of the Corporation and a lot owner.  They are elected at an annual meeting to serve for one year.  Elections are held annually, and nominations shall be made from the floor.  Voting is by secret ballot, and the persons receiving the largest number of votes shall be elected.  Directors do not receive compensation, as all services are voluntary.
 
Officers
The officers include a president, secretary, treasurer, vice president, and other positions as determined by the directors.  They are selected by the board, and serve until the board selects their successors.  Any officer may also be a member of the board.  Please note that officers are not directly elected by the HOA membership, but by the directors, who are directly elected by the HOA membership.
 
Responsibilities of the Board
  • The Board shall have full power and authority in the governance, management, and control of the business affairs of the incorporated HOA
  • They may take all actions deemed necessary or desirable to comply with all requirements by law
  • Enforce the covenants, conditions and restrictions set forth in the Declaration of Covenants, Easements, Conditions, and Restrictions affecting the properties owned by the HOA
  • Repair, maintain, and improve the common properties
  • Establish, levy, collect, and enforce assessments, subject to the provisions of the Declaration
  • Adopt and publish rules and regulations governing the use of the common properties and the personal conduct of owners, occupants, and guests, and establish penalties for related infractions
  • Suspend voting rights when an owner is in default regarding their assessments, and take any further legal action deemed appropriate to collect the assessments
  • Authorize the officers to enter into one or more management agreements in order to facilitate efficient operation of the HOA

CURRENT BOARD MEMBERS
John Zalenka, President
 
President's Responsibilities:
  • Communicates all info to the board and HOA members via website and email communications
  • Serves as the primary HOA contact with legal representation, North Royalton city leaders, other local governmental agencies, and suppliers of services to the HOA and the board
  • Understands the nature and application of the governing documents, and seeks counsel from legal or other civic resources when needed
  • Maintains, or delegates management of, all service contracts and HOA agreements
  • Ensures that all document retention requirements are met
  • Develops the necessary infrastructure to help the board and HOA members operate in the most efficient manner
  • Maintains fiscal responsibility for the HOA, ensuring that assessments and reserves are adequate, consistent with the expenses and needs of the Association
  • Appoints committees, and committee heads, as needed

 
Tim O'Toole, Vice President
 
Vice-President's Responsibilities
  • In the absence of the president, leads all board meetings and/or HOA meetings
  • Assists the president with HOA activities, as requested
 
 
 
 
 
 
 

 
Art Dilger, Treasurer
 
Treasurer's Responsibilities:
  • Prepare and recommend to the board the budget and assessment amount for the upcoming year
  • Provide variance analysis of revenue and expense items compared to budget and prior year, and investigate as needed
  • Pay all invoices incurred by the association
  • Review and reconcile the bank accounts of the HOA
  • Bill residents for annual HOA assessments; collect and deposit monies; maintain appropriate records of payment and account balances; provide periodic past due reports, escalating issues to the board and legal counsel when necessary.
  • Collect and mange funds for special association events, and process related disbursements
  • Maintain a roster of homeowners (members), including email and phone contact information
  • Respond to requests from title agencies for information needed to complete property transfers
  • Prepare and submit the annual U.S. Income Tax Return for Homeowner's Associations (Form 1120-H) and submit by April 15th for the prior calendar and fiscal year

 
Open Board Position, Secretary
 
Secretary's Responsibilities:
  • Records and publishes the meeting minutes for each Board meeting and HOA meeting within 7 days of the meeting
  • Delegates responsibility to another board member when planning to be absent from a meeting
